Terms of Service

Effective Date: October 15, 2026

1. Who we are and what these Terms cover

These Terms of Service ("Terms") are an agreement between you and MG HOLDINGS LLC, a Colorado limited liability company doing business as Minerals Guy and Learn Minerals ("we," "us," "our"). They apply to our websites (including learnminerals.com and its subdomains), our workshops, courses, downloads, community, group calls, emails and text messages (together, the "Services").

Mailing address: 8101 E. Prentice Ave., Suite 725, Greenwood Village, CO 80111
Email: admin@mineralsguy.com

By buying from us, creating an account, or using the Services, you agree to these Terms and to our Privacy Policy. Section 14 contains an arbitration agreement and class-action waiver that affect how disputes are resolved. You can opt out of arbitration as explained in Section 14.

Card charges appear on your statement as LEARNMINERALS or a similar descriptor.

2. Eligibility

You must be at least 18 years old and able to enter a binding contract. If you use the Services for a company, you confirm you have authority to bind it to these Terms.

3. Education only: no advice, no guaranteed results

Learn Minerals teaches how the mineral rights business works: research, ownership, valuation, outreach and closing.

  • Education, not advice. Nothing in the Services is legal, tax, accounting, investment or financial advice, and using the Services does not create an attorney-client or advisory relationship. Consult your own licensed professionals before you buy, sell, lease or broker any interest.
  • No guaranteed results. We do not promise that you will find, close or profit from any deal. Student results we show are individual, are not typical, and come from people who put in significant work. Most people who buy a course never complete it. Mineral buying is simple, but it is not easy, and effort does not guarantee earnings.
  • Your own compliance. You are responsible for following the laws that apply to your activities, including any licensing, registration, recording, disclosure or consumer-protection rules in your state and the state where a property is located.
  • Risk. Mineral and royalty interests carry risk, including loss of the money you pay for them. Commodity prices, drilling plans and title can change.
  • No investment offering. Nothing in the Services is an offer to sell or a solicitation to buy any security or interest in any fund. Any deal participation with us or our affiliates is governed only by a separate written agreement.

4. Products, prices and payment

a. What you buy. Each product page and checkout describes what you receive. Current products include the Your First Mineral Prospect workshop, The Forgotten Minerals File, and the Learn Minerals Complete Course. Coaching programs are sold under their own written agreement, and that agreement controls if it conflicts with these Terms.

b. Prices and taxes. Prices are shown in U.S. dollars at checkout. You are responsible for any applicable sales or use tax.

c. Order bumps and one-click offers. At checkout we may offer an add-on (an "order bump") or, after you pay, a one-click offer. Each is optional and charged only if you choose it. One-click offers are charged to the payment method you just used, without re-entering card details. Each purchase appears as a separate charge.

d. Payment plans. If you choose a payment plan (for example, 3 monthly payments of $165 for the Complete Course), you authorize us to charge your payment method on the first payment date and each month after until every scheduled payment is made. The plan ends after the final payment. It is not a subscription and does not renew. If a payment fails, we may retry it and may pause your access until the balance is current. You can update your card by emailing us. Ending a payment plan early does not cancel the remaining payments, except under the refund policy in Section 5.

e. Payment processing. Payments are processed by Stripe through our checkout provider. We do not store your full card number.

5. Refund policy: 7 days, no questions asked

  • Every purchase comes with a 7-day refund. This covers the workshop, The Forgotten Minerals File, and the Complete Course, whether paid in full or on a payment plan. Email admin@mineralsguy.com within 7 days of the purchase date and we will refund that purchase in full. We won't ask why.
  • Each purchase has its own 7 days. The window runs separately from the date of each purchase.
  • Payment plans. If you request a refund within 7 days of your first plan payment, we refund what you paid and cancel the remaining payments.
  • How refunds are paid. We refund to your original payment method, usually within 5–10 business days depending on your bank. Access to the refunded product ends when the refund is issued.
  • After 7 days, purchases are final except where the law requires otherwise.
  • Contact us first. If something is wrong with your order, email us before disputing the charge with your bank; we can usually fix it faster.
  • Coaching refunds, if any, are governed by the coaching agreement.

6. Access, delivery and accounts

a. Digital delivery. Products are delivered digitally, by email link, download or login, usually right after purchase.

b. "Lifetime access" means access for as long as we offer the course or product. If we ever discontinue a paid product, we will give you at least 30 days' notice to download the materials we make available for download.

c. Personal license. We grant you a limited, personal, non-transferable, non-exclusive license to use the materials for your own education and your own business. Do not share your login, resell, copy, post, record, or distribute the materials, or use them to build a competing course or product.

d. Your account. Keep your login details accurate and secure. You are responsible for activity under your account.

e. Changes to the Services. We may update, improve or reorganize course content. We will not materially reduce a paid product you already bought without offering a pro-rata refund.

7. Community, calls and content you share

a. Conduct. Be professional. Do not harass other members, spam, post unlawful content, or pitch your own products or services without permission.

b. Confidential deal information. Members sometimes share deal details, owner information, and documents. Use what others share only to learn and to give feedback in the group. Do not contact another member's owners, or pursue another member's deal, unless that member agrees in writing. Owner contact information you obtain through the Services must be used lawfully, including under telemarketing and privacy laws.

c. Recordings. Group calls and live sessions may be recorded and shared with members. By joining, you consent to being recorded, including your name, voice and image. Do not record calls yourself or share recordings outside the Services.

d. Your content. You keep ownership of what you post. You give us a non-exclusive, royalty-free license to host, display, and use it to operate and improve the Services. We will not use your name, image or results in advertising without your separate written permission.

8. Emails, text messages and calls

a. Emails. Buying or signing up means we will email you about your purchase and access. We may also send marketing emails, and you can unsubscribe at any time using the link in each email.

b. Text messages (SMS). If you give us your mobile number:

  • Account and order texts: we may text you about your order, access, onboarding and scheduled calls.
  • Marketing texts: we send these only if you opt in by checking a separate text-message consent box (for example, in our welcome survey). Consent is not a condition of purchase.
  • The basics: message frequency varies. Message and data rates may apply. Reply STOP to opt out, or HELP for help, or email admin@mineralsguy.com. Carriers are not liable for delayed or undelivered messages.
  • Privacy: we do not sell or share your mobile number or text-message opt-in data with third parties for their marketing. See our Privacy Policy.

c. Phone calls. If you give us your phone number, a member of our team may call you about your purchase, access and onboarding, and about our other products and services, including coaching. These are live calls from a person, not automated or prerecorded calls. To stop marketing calls, tell the caller or email admin@mineralsguy.com, and we will add you to our internal do-not-call list.

9. Intellectual property

The Services and all course videos, text, templates, calculators, scripts, documents, logos and trademarks (including Learn Minerals, Minerals Guy and the MRA System) belong to MG HOLDINGS LLC or its licensors. Except for the license in Section 6c, you receive no rights in them.

10. Prohibited uses

Do not:

  • Use the Services unlawfully.
  • Share or resell access.
  • Use bots or automated tools to copy or collect the Services.
  • Interfere with the Services' security or operation.
  • Upload malware.
  • Impersonate anyone.
  • Use the Services to violate anyone's privacy or intellectual property rights.

11. Third-party tools

The course may reference outside tools and data sources (for example county records, state agency sites, mapping, CRM, skip-tracing, and data subscriptions). We don't control them. Your use of them is governed by their own terms, and some cost money.

12. Disclaimers and limitation of liability

a. Disclaimer. Except for the refund policy in Section 5 and as the law otherwise requires, the Services are provided "as is" and "as available." We disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't warrant that the Services will be uninterrupted or error-free, or that any information (including data from third-party sources) is complete or current.

b. Limitation. To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost deals or lost data. Our total liability for any claim relating to the Services is limited to the greater of (i) the amount you paid us in the 12 months before the claim, or (ii) $100.

c. Where the law doesn't allow limits. Some jurisdictions do not allow certain disclaimers or limits, so some of this section may not apply to you.

13. Indemnity and termination

a. Indemnity. You agree to indemnify us against third-party claims arising from your breach of these Terms, your misuse of the Services, or your own deals and outreach, including any claim that your outreach violated telemarketing, privacy or licensing laws.

b. Termination by you. You can stop using the Services at any time.

c. Termination by us. We may suspend or end your access if you materially breach these Terms (for example, by sharing your login, pirating materials, misusing member information, or harassing members). If we end access for any other reason, we will refund the unused portion of what you paid. Sections that by their nature should survive, including 3, 7b, 9, 12, 13 and 14, survive.

14. Disputes: informal resolution, arbitration and class waiver

a. Talk to us first. Before filing any claim, email admin@mineralsguy.com with your name, the purchase involved, and what you want. Both sides agree to try in good faith to resolve it within 30 days.

b. Binding individual arbitration. If we can't resolve it, any dispute relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs this Section. One arbitrator decides. The arbitration will take place in Denver, Colorado. You may choose to take part by video or phone, or to have the case decided on written submissions only, so you do not have to travel.

c. Fees. We will pay all AAA filing, administrative and arbitrator fees above the amount you would pay to file a lawsuit, as the AAA Consumer Rules provide. Each side pays its own attorneys' fees unless the arbitrator awards them under applicable law.

d. Exceptions. Either side may bring an individual claim in small-claims court. Either side may ask a court to stop infringement or misuse of intellectual property.

e. Class-action waiver. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding. If this waiver is found unenforceable for a claim, that claim (and only that claim) goes to court and not to arbitration.

f. 30-day opt-out. You can opt out of this arbitration agreement by emailing admin@mineralsguy.com within 30 days of your first purchase, with your name and the words "arbitration opt-out." Opting out doesn't affect anything else in these Terms.

g. Court and governing law. Any dispute that isn't arbitrated will be decided in the state or federal courts in Denver, Colorado. These Terms are governed by Colorado law, apart from its conflict-of-law rules and subject to the Federal Arbitration Act.

15. Changes to these Terms

We may update these Terms. We will post the new version with a new effective date and, for material changes, notify customers by email before they take effect. Changes do not apply to any dispute that arose before the change was posted. Continuing to use the Services after the effective date means you accept the update.

16. General

  • Entire agreement. These Terms, the Privacy Policy, and any product-specific or coaching agreement are the entire agreement between you and us about the Services.
  • Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
  • No waiver. Not enforcing a provision is not a waiver of it.
  • Assignment. You may not assign these Terms. We may assign them in connection with a merger, sale or reorganization.
  • Force majeure. Neither side is responsible for delays caused by events beyond its reasonable control.
